廉洁合作协议
Integrity Cooperation Agreement

为持续深化廉洁从业建设，中国建筑将《廉洁合作协议》签署作为供应商合作的强制性合规条件，要求所有合作供应商必须完整签署并严格履行协议约定的禁止商业贿赂、杜绝利益输送等廉洁义务。同时建立年度审查评估机制，将协议的履行情况纳入供应商评价评级管理体系，通过制度化的动态监管，推动构建“亲”“清”合作关系，共同维护公平透明的商业环境。具体内容如下。
To further strengthen integrity in business practices, China State Construction Engineering Corporation requires the signing of the Integrity Cooperation Agreement as a mandatory compliance condition for all suppliers. All suppliers must fully execute the Agreement and strictly adhere to the obligations therein, including the prohibition of commercial bribery and the prevention of improper benefit transfers. An annual audit and evaluation mechanism has also been established, under which the performance of the Agreement is incorporated into the supplier assessment and rating management system. Through institutionalized and dynamic supervision, we aim to build a cordial and clean relationship with suppliers, jointly safeguarding a fair and transparent business environment. The specific provisions are as follows:

第一条 甲乙双方的权利和义务
Article 1 Rights and Obligations of the Parties

1.甲乙双方应本着“公开、公平、公正、诚信、透明”的原则开展工作，自觉遵守党和国家、工程项目所在省、市、区工程建设有关法律法规以及廉洁建设的各项规定。
1. Both Parties shall engage in their work in accordance with the principles of openness, fairness, impartiality, integrity, and transparency, and shall consciously comply with the laws and regulations of the Party and the State, as well as all relevant provisions on integrity and compliance applicable to construction projects in the provinces, municipalities, and districts where such projects are located.

2.甲乙双方应建立健全廉洁教育制度，开展经常性教育活动，积极宣贯“合规诚信 自律清正”的廉洁从业核心要求，加强廉洁教育。
2. Both Parties shall establish and improve integrity education mechanisms, carry out regular educational activities, and actively promote the essential requirements of “compliance, integrity, self-discipline, and probity” in professional conduct, so as to strengthen integrity education.

3.加强相互监督，发现对方有违反廉洁合作协议规定的行为，应及时提醒对方纠正。
3. Both Parties shall strengthen mutual supervision, and if either Party discovers conduct by the other that violates the provisions of this Integrity Cooperation Agreement, it shall promptly remind the other Party to rectify such conduct.

第二条 甲方的责任
Article 2 Responsibility of Party A

甲方工作人员不得有以下行为：
Party A personnel shall not commit the following acts:

（1）为乙方多结算工程量、多签证、多付工程款等，并向乙方索要或接受贿赂、回扣、礼金、有价证券（卡）、贵重物品和好处费等;
(1) Inflating project engineering quantities, issuing excessive variation orders, or making excessive payments to Party B, and in return soliciting or accepting bribes, kickbacks, cash gifts, negotiable securities (including cards), valuable items, or other improper benefits from Party B;

（2）在乙方报销任何应由甲方或个人支付的费用;
(2) Submitting for reimbursement by Party B any expenses that should be borne by Party A or by individuals themselves;

（3）参加有可能影响公正执行公务的超标准宴请和娱乐、健身等活动;
(3) Participating in banquets, entertainment, fitness, or other activities that exceed government-prescribed standards and may compromise the fair execution of official duties;

（4）接受乙方提供的通讯工具、交通工具和高档办公用品;
(4) Accepting communication devices, transportation vehicles, or high-end office supplies provided by Party B;

（5）要求、暗示或接受乙方为个人住房装修、婚丧嫁娶、配偶子女工作的安排以及出国（境）、旅游提供的方便;
(5) Requesting, suggesting, or accepting from Party B any assistance related to personal housing renovations, wedding or funeral arrangements, employment for a spouse or children, or convenience in connection with overseas travel or tourism.

（6）向乙方介绍或推荐配偶、子女、亲属参与的工程施工合同有关的设备、材料、工程分包、劳务等;
(6) Introducing or recommending to Party B any equipment, materials, project subcontracting, or labor services related to construction contracts in which one’s spouse, children, or relatives are involved;

（7）向乙方推荐分包单位或要求乙方购买合同规定以外的材料、机具设备等;
(7) Recommending subcontractors to Party B or requesting Party B to purchase materials, tools, or equipment beyond those specified in the contract;

（8）因乙方拒绝本人的不合理要求，而故意刁难乙方；
(8) Deliberately obstructing or creating difficulties for Party B due to their refusal of unreasonable requests;

（9）在采购过程中与乙方掮客运作、内外勾连勾结、谋取私利、围标串标；
(9) Engaging in collusion with Party B’s broker, and internal or external parties for bid rigging during the procurement process to seek personal gains;

（10）其他违反廉洁制度和廉洁从业法律法规的情形。
(10) Any other conduct that violates integrity policies or laws and regulations governing ethical and integrity professional conduct.

第三条 乙方的责任
Article 3 Responsibility of Party B

乙方应当通过正常途径开展业务，内部制定并实施反腐败相关制度，与甲方合作的过程中明确禁止团队有任何形式的商业贿赂、利益输送及不正当竞争行为。具体不得有以下行为：
Party B shall conduct its business through proper channels, establish and implement anti-corruption policies internally, and, in cooperation with Party A, explicitly prohibit its team from engaging in any form of commercial bribery, improper benefit transfers, or unfair competition. The following actions are prohibited:

（1）为多结算工程量、多签证、多收工程款等，向甲方及其管理人员行贿或馈赠礼金、有价证券（卡）、贵重礼品;
(1) Inflating project workload, issuing excessive work confirmations, or collecting excessive payments, and offering bribes or gifts, including cash, negotiable securities (cards), or valuable items, to Party A or its management personnel.

（2）为甲方及其工作人员报销应由甲方单位或个人支付的任何费用;
(2) Submitting for reimbursement any expenses to Party A or its personnel that should be borne by Party A or individuals themselves;

（3）安排甲方人员参加超标准宴请、娱乐活动及带有黄、赌性质的娱乐活动;
(3) Arranging for Party A personnel to participate in banquets or entertainment activities that exceed government-prescribed standards, as well as activities of a sexual or gambling nature.

（4）为甲方人员购置或提供通讯工具、交通工具和高档办公用品等;
(4) Purchasing or providing communication devices, transportation vehicles, or high-end office supplies for Party A personnel.

（5）乙方向甲方工作人员及其家属或者亲友介绍从事与甲乙双方工程有关的工程分包及材料设备、周转工具的供应、租赁等经营活动；
(5) Introducing to Party A personnel, their family members, or relatives/friends any business activities related to the Parties’ projects, including subcontracting, supply of materials and equipment, or leasing of turnover tools.

（6）在甲方采购过程中与甲方掮客运作、金钱开道、内外勾连勾结、围标串标；
(6) Engaging in collusion with Party A’s broker, and bribing internal or external parties for bid rigging during Party A’s procurement process.

（7）其他违反廉洁从业法律法规的情形。
(7) Any other conduct that violates laws and regulations governing ethical and integrity professional conduct.

第四条 违约责任
Article 4 Liability for Breach of Contract

1.如甲方工作人员有违反本廉洁合作协议的行为，由甲方纪委查处，追究相应的党纪、政务责任，涉嫌犯罪的，移交司法机关追究刑事责任；对实名举报的，甲方要立即调查，并采取有效措施保障乙方的合法权益，防止报复事件发生。
1. If any Party A personnel violate this Integrity Cooperation Agreement, Party A’s Discipline Inspection Commission shall investigate and hold them accountable for any applicable Party or administrative responsibilities. If a criminal offense is suspected, the case shall be referred to judicial authorities for criminal liability. In the case of a whistleblower reporting in their real name, Party A shall promptly investigate and take effective measures to protect Party B’s legitimate rights and interests and prevent any acts of retaliation.

2.如乙方单位或个人有违反本廉洁合作协议的行为，根据情节轻重，甲方将按照公司分供商管理相关制度对乙方采取标记不良行为或禁用等措施，对甲方造成损失的，甲方有权要求乙方赔偿损失，涉嫌犯罪的，建议移交司法机关处置。
2. If Party B or its personnel violate this Integrity Cooperation Agreement, Party A may, depending on the severity of the violation, take measures such as marking the behavior as non-compliant or suspending/terminating cooperation in accordance with the Company’s supplier management policies. If Party A incurs any losses as a result, it has the right to claim compensation from Party B. In cases involving suspected criminal conduct, the matter may be referred to the relevant judicial authorities.

第五条 甲方接受举报的途径
Article 5 Channels for Party A to Receive Reports

甲方已制定《处理检举控告工作管理办法》，规定因检举控告致其合法权利受到威胁或者侵害的，可以提出保护申请，甲方将保护举报人。
Party A has established the Administrative Measures for Handling Reports and Complaints, which stipulate that if a whistleblower’s legitimate rights are threatened or infringed due to reporting or filing complaints, they may apply for protection, and Party A shall ensure the whistleblower is protected.

第六条 本协议作为中国建筑与供应商合作合同的一部分，具有同等法律效力，本协议与供应商签署合同同日生效,至合同履约完止。
Article 6 This Agreement forms an integral part of the cooperation contract between China State Construction and the supplier and shall have the same legal effect. It shall come into force on the same date as the  contract signed with the supplier and remain effective until the contract is fully performed.
